How does an asset deal differ from a share deal?
In an asset deal specific assets are acquired, whereas in a share deal the entire company is acquired, including liabilities and risks. An asset deal allows the buyer to take over only those parts of a company that are valuable to it, which is particularly advantageous if it wants to minimise business risks.
